The main document required to obtain or renew a residence permit in Bulgaria on the basis of a "Sales Representative" is a certificate. It certifies the very fact of the existence of a trade mission of a foreign company, and also lists representatives – i.e. people who can obtain a residence permit on this basis.
The certificate has a limited validity period (expiration date) – only one month. For this reason, it has to be obtained before each renewal of a residence permit. Moreover, to submit to the Migration, you need not just a certificate, but a certificate with with a special note on compliance with the requirements of the Law on Foreigners (Part 24 al.1, vol. 6). It is for the sake of this note that it is necessary to provide the BCCI employees with a package of documentation.
All these papers must be up-to-date. In particular, this applies to accounting documentation and a certificate from the tax office about the absence of debt.
Already now, starting from April 1, 2018, it is necessary to take care of providing the BCCI with the necessary certificates (certificates), declarations, reports for 2017.
At the same time, an extract from the register will be required only if there have been any changes in the parent company, for example, the director, address, and other important data have changed. In other cases, it is sufficient to submit an extract from the Unified State Register of Legal Entities only when opening a representative office.
List of required documents
- The sales representative in Bulgaria must prove that:
- the parent company, from which the representative office was opened, worked in the previous reporting year, that is, it was actively engaged in economic activity;
- the parent company has no tax arrears;
- planned and implemented activities of the trade mission, namely:
– justification of the need for the existence of a trade mission, its opening on the territory of Bulgaria is justified – it worked in the previous year and will work in the future,
– an annual program for the fulfillment of the goals and objectives of the commercial representative office in the Republic of Bulgaria, as well as a declaration for the sales representative,
– The representative office has an office in Bulgaria.
Various types of documents are accepted. For example, the fact of the existence of the company can be proved by providing a copy of the balance sheet and income or expense statement to the BCCI branch. An alternative option is to write a declaration on the model of the Bulgarian Chamber of Commerce and Industry, which will contain financial data on the company's activities. The law provides for another possibility – a declaration indicating the electronic address of a public database with an accounting report. However, such databases in English (and this is a mandatory requirement) are not available in all countries: representatives of Russian firms, for example, will not be able to provide links to such resources.
To prove the absence of tax arrears, you will also need a declaration with a link to the database in English or an up-to-date certificate (certificate) from the tax office, certifying the absence of debts to the budget.
Now it is necessary to substantiate the need for the existence of a TP in Bulgaria. These documents must be stamped and signed by the head of the parent company (notarized). You will need:
- Justification is a document that lists the goals of creating a representative office and its tasks.
- The report on the work of the mission and representatives must contain information on the activities carried out over the past year in accordance with the plan that was submitted to the BCCI a year ago.
- Work plan for the year. The document should list various events in which representatives will participate – exhibitions, seminars, negotiations.
- An office lease agreement for a period of at least 1 year, and if the suitable premises are owned, then a copy of the notarial deed must be provided.
- All documents must be translated into Bulgarian. Originals are submitted together with translations. We recommend that you take care of collecting all the necessary papers in advance, sending them to Bulgaria and translating them.
